This is a mutual non-disclosure agreement (NDA) template used by Colart International Holdings Limited and Subsidiaries when entering into preliminary discussions with external parties. The agreement outlines obligations for both parties to protect confidential business information disclosed during the evaluation or formation of a potential business relationship. It includes strict confidentiality provisions, data protection clauses, limitations on use, and remedies in case of breach. The agreement is governed by English law and is intended to remain in effect for five years from the effective date, or indefinitely for trade secrets and formulations.

ContractSafe Instructions:

The link will take you to the template in ContractSafe. You will be asked to complete the following Document Fields before generating the contract:

  • Counterparty – Enter the full legal name of the external party. This will appear in the contract as the other party to the agreement.

  • Effective Date – Enter the date the NDA will take effect. This date will also determine the five-year validity period, unless the agreement covers trade secrets or formulations, which survive in perpetuity.

Once these fields are complete, click Preview Document to review the completed contract. When you're satisfied, click Create Document. The contract will be saved in the Intake folder.

Please ensure the contract is moved to the appropriate Category / Folder and assigned to the correct Colart Entity / Division. Then proceed to send the agreement for signature within ContractSafe.

Confidentiality Agreement Colart Worker Confidentiality Agreement

This is a confidentiality and non-disclosure agreement used by Colart International Holdings Limited and Subsidiaries for individual workers, including contractors, freelancers, or temporary personnel. It outlines the worker’s obligations to protect Colart’s confidential information both during and after their engagement. The agreement includes strict confidentiality and data protection requirements, intellectual property ownership provisions (including assignment of IP created during or after the relationship), and indemnification terms. It is intended to apply indefinitely and is governed by the laws of the worker’s country of registration.

ContractSafe Instructions:

The link will take you to the template in ContractSafe. You’ll be asked to fill in the required fields before previewing or generating the contract. Please note the following guidance for specific fields:

  • Counterparty – Enter the worker’s full legal name.

  • Home Address – Enter the worker’s home address exactly as it should appear in the contract.

  • Countercompany’s Country of Registration – This should be the worker's country of residence. Enter the full country name (e.g., “The United Kingdom” or “The United States of America”). Do not use abbreviations like “UK” or “USA.”

  • Colart Signor(s) – Indicate the name of the Colart employee who will sign the agreement on behalf of the company.

  • Counterparty Email Address – This is where the agreement will be sent for signature, so make sure it's accurate.

Once you complete all fields, click Preview Document to view the completed contract. When satisfied, click Create Document. The contract will be saved in the Intake folder.

Please make sure to move the agreement to the correct Category / Folder and Colart Entity / Division, then send it for signature within ContractSafe.
